1. Acceptance of These Terms

These Terms of Use ("Terms") govern your access to and use of www.tinazieglercoaching.com and any related websites,

pages, online platforms, communities, programs, products, content, and services operated by Tina Ziegler Consulting, LLC,

doing business as Tina Ziegler Coaching ("Company," "we," "our," or "us").

By accessing or using the Website, creating an account, joining a program or community, downloading a resource,

registering for a discovery call, purchasing a product or service, attending a live or virtual event, or otherwise interacting

with the Company, you agree to these Terms, our Website Disclaimer, Privacy Policy, Refund Policy, and any additional

written agreement or checkout terms that apply to the specific service you purchase or use.

If you do not agree to these Terms, you should not access or use the Website, Content, Services, or Community. If a

separate signed coaching agreement, membership agreement, community agreement, or other written agreement applies

to a particular service, that agreement will control if there is a direct conflict with these Terms for that specific service.

2. Definitions

For purposes of these Terms:

• "Website" means www.tinazieglercoaching.com and any related webpage or online property operated by the

Company.

• "Content" means all materials provided by or on behalf of the Company, including text, graphics, logos, videos, audio

recordings, blogs, articles, newsletters, emails, downloadable resources, worksheets, journals, meditations,

visualizations, trainings, webinars, podcasts, photographs, software, templates, course materials, and other

educational or coaching materials.

• "Services" means all current and future services, programs, and offerings of the Company, including without limitation

one-on-one coaching, group coaching, paid memberships, online communities, courses, workshops, webinars, blogs,

podcasts, digital products, downloadable resources, live events, speaking engagements, and related services.

• "Community" means any online or offline group, forum, membership site, discussion area, social media group,

messaging platform, video platform, application, or other space made available by or on behalf of the Company for

participant interaction.

• "User Content" means comments, posts, questions, testimonials, feedback, photographs, recordings, chat messages,

documents, or other materials you submit, upload, share, or make available through the Website, Services, or

Community.

3. Eligibility and International Use

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction if higher, to use the Website,

purchase Services, or participate in any Community. By using the Website or Services, you represent that you meet this

eligibility requirement.

The Company is based in North Carolina, United States, but may serve clients and visitors internationally. You are

responsible for understanding and complying with the laws, regulations, professional standards, and consumer protection

rules that apply to you in your own jurisdiction. We may limit, suspend, or refuse access to any Service where we

determine, in our discretion, that providing the Service may be unlawful, impractical, restricted by sanctions, or

inconsistent with our professional standards.

4. Nature of the Services

Tina Ziegler Coaching provides educational, informational, mindset, emotional support, and coaching resources for adults

navigating fertility treatment, IVF, family-building decisions, donor conception considerations, and related emotional and

personal development topics. The Services are intended to support clarity, resilience, self-leadership, emotional steadiness,

and informed personal reflection.

The Services are not medical care, fertility treatment, psychotherapy, mental health counseling, psychological treatment,

crisis services, legal advice, financial advice, tax advice, or any other licensed professional service. The Services are designed

to complement, not replace, the care and guidance of physicians, reproductive endocrinologists, nurses, embryologists,

therapists, psychologists, attorneys, financial professionals, tax professionals, or other licensed professionals.

You agree to review and follow the Company's Website Disclaimer, which is incorporated into these Terms by reference.

You further agree that all medical, mental health, legal, financial, tax, and treatment-related decisions remain solely

between you and your appropriately licensed professionals.

5. Coaching, Memberships, Community, and Future Offerings

The Company may offer one-on-one coaching, group coaching, paid communities, memberships, courses, workshops,

webinars, blogs, podcasts, newsletters, digital downloads, guided meditations, journals, visualizations, resource libraries,

discovery calls, speaking engagements, live events, and future services or products. The specific features, duration, pricing,

access terms, deliverables, and limitations of each offering will be described on the applicable sales page, checkout page,

proposal, invoice, written agreement, or program materials.

We may change, update, discontinue, replace, or modify any Website feature, Content, Service, Community feature, or

future offering at any time. We are not obligated to continue offering any specific service, platform, content library, replay,

recording, resource, or community feature indefinitely unless expressly stated in a separate written agreement.

6. Payments, Payment Plans, Subscriptions, and Refunds

All fees, payment schedules, installment obligations, subscription terms, renewal terms, and cancellation procedures will be

disclosed at checkout, on the applicable invoice, or in the written agreement for the relevant Service. By submitting

payment information or agreeing to a payment plan, you authorize the Company and its payment processors to charge the

amounts due according to the terms presented at purchase.

If you select an installment plan or monthly payment plan, you understand that the plan may represent a payment schedule

for the full purchase price of the program or service, not necessarily a month-to-month cancellation option, unless the

applicable written terms expressly say otherwise. Cancellation of participation, non-use of Services, or failure to access

materials does not automatically cancel your payment obligations.

If a payment fails, is reversed, or is not received when due, the Company may suspend or terminate your access to the

Website, Services, Content, Community, recordings, resources, or account until the account is brought current. You agree

to keep your payment information current and to contact us promptly if you need to update payment details.

Purchases are subject to the Company's Refund Policy and any refund terms provided at the time of purchase. If you would

like a copy of the current Refund Policy, please contact [email protected]. Refunds, if any, are provided only

according to the applicable Refund Policy or written agreement. We may decline refund requests that fall outside the

applicable policy or are inconsistent with the terms agreed upon at purchase.

7. Accounts, Access, and Electronic Communications

Some Services may require you to create an account, register through a third-party platform, or provide accurate contact

and billing information. You are responsible for maintaining the confidentiality of your login credentials and for all activity

that occurs under your account. You agree to notify us promptly if you believe your account has been accessed without

authorization.

By registering for the Website, Services, Community, downloads, discovery calls, or other offerings, you consent to receive

electronic communications from the Company, including notices, updates, agreements, disclosures, invoices, receipts,

program materials, administrative messages, marketing communications, and other records or correspondence. You may

unsubscribe from promotional emails using the unsubscribe link included in those messages, though we may still send non-

promotional transactional or administrative communications.

8. Intellectual Property and Limited License

The Website, Content, Services, materials, methods, frameworks, videos, trainings, audio recordings, written resources,

graphics, logos, photographs, documents, downloads, templates, worksheets, meditations, visualizations, blogs, podcasts,

and all related intellectual property are owned by the Company or its licensors and are protected by copyright, trademark,

and other intellectual property laws.

Subject to your compliance with these Terms, the Company grants you a limited, revocable, non-exclusive, non-

transferable, non-sublicensable license to access and use the Website, Content, and Services solely for your personal, non-

commercial use. You may not copy, reproduce, republish, upload, post, transmit, distribute, sell, license, share, teach,

create derivative works from, publicly display, publicly perform, or commercially exploit any Content without the

Company's prior written permission.

You may download or print materials expressly made available for download solely for your own personal use in connection

with the Service purchased or accessed. No ownership rights are transferred to you. All rights not expressly granted are

reserved by the Company.

9. Trademarks, Copyright Concerns, and Permission Requests

The Company's names, logos, program names, service names, taglines, trade dress, and related branding may be

trademarks or proprietary assets of the Company. You may not use Company trademarks or branding without prior written

permission.

The Company respects the intellectual property rights of others. If you believe your copyrighted work, trademark, or other

intellectual property has been used on the Website or in Company Content in a way that violates your rights, please contact

the material, and any other information reasonably necessary for us to evaluate your request.

10. User Content, Feedback, and Testimonials

You are solely responsible for any User Content you submit, post, upload, share, or otherwise provide through the Website,

Services, or Community. You represent that you own or have permission to share such User Content and that it does not

violate any law, infringe any third-party rights, or contain unlawful, defamatory, harassing, abusive, obscene, misleading, or

otherwise objectionable material.

By submitting User Content, you grant the Company a worldwide, royalty-free, non-exclusive license to host, store,

reproduce, display, process, transmit, and use such User Content as reasonably necessary to operate the Website, provide

Services, moderate the Community, administer programs, and maintain business records. We will not use private one-on-

one coaching content, sensitive client stories, or testimonials for marketing or public promotional purposes without

appropriate written permission.

If you submit comments, ideas, suggestions, improvements, testimonials, reviews, or other feedback about the Website,

Content, Services, or Company, you agree that the Company may use such feedback for business, operational, product

development, marketing, or improvement purposes without compensation to you, subject to applicable law and any

separate written consent requirements for testimonials or publicity uses.

Testimonials, reviews, and success stories may be published only with appropriate permission. Testimonials reflect

individual experiences and do not guarantee that you or anyone else will experience the same or similar results.

11. Community Rules and Member Conduct

If you participate in a Company Community, you agree to engage respectfully, responsibly, and lawfully. The Community

may include vulnerable and emotionally sensitive discussions related to fertility, IVF, pregnancy loss, donor conception,

family-building, personal relationships, stress, finances, and similar topics. You agree to treat other participants with

dignity, discretion, and care.

You agree not to use the Website, Services, or Community to:

• harass, threaten, intimidate, shame, exploit, or abuse any person;

• post unlawful, discriminatory, defamatory, obscene, graphic, or harmful content;

• provide medical, mental health, legal, financial, tax, or other licensed professional advice as though you are responsible

for another person's care;

• solicit clients, promote unrelated products or services, spam members, or engage in unauthorized marketing;

• share another participant's private information, story, image, recording, or comments outside the Community without

permission;

• record, screenshot, copy, download, distribute, or republish Community content without prior written authorization; or

• interfere with the operation, safety, integrity, or supportive purpose of the Community.

The Company may moderate, edit, decline, remove, or restrict access to User Content or Community participation in its sole

discretion. We may suspend or terminate access to a Community, program, or Service, with or without refund, if we

determine that a participant has violated these Terms, the applicable Community rules, a written agreement, or the safety

and integrity of the Community.

12. Community Content Disclaimer

Statements, opinions, recommendations, treatment suggestions, emotional support suggestions, medical comments, legal

or financial comments, personal experiences, and other information shared by Community participants are solely the views

and responsibility of the individual participants who share them. Such participant content does not represent the opinions,

advice, recommendations, treatment suggestions, or professional guidance of the Company unless expressly stated in

writing by the Company.

The Company does not endorse, verify, adopt, approve, monitor, or guarantee the accuracy, safety, appropriateness,

completeness, or usefulness of any participant statements or recommendations. Allowing a post, comment, question,

discussion, or recommendation to remain visible in a Community does not mean that the Company agrees with it,

recommends it, or accepts legal responsibility for it.

You agree not to rely on Community discussions as a substitute for advice from your licensed medical, psychological,

therapeutic, legal, financial, tax, or other professional advisors. You are solely responsible for consulting appropriate

licensed professionals before making decisions related to fertility treatment, IVF protocols, medications, embryo transfer,

donor selection, testing, pregnancy, mental health, finances, legal rights, or any other personal or professional matter.

13. Confidentiality Expectations in Community Spaces

Participants are expected to respect the confidentiality and privacy of other members. You agree not to share another

participant's personal story, identifying information, screenshots, recordings, comments, images, or private

communications outside the applicable Community or program without that participant's express permission.

However, because Communities involve independent participants and third-party platforms, the Company cannot

guarantee that other participants will maintain confidentiality or that third-party platforms will be free from unauthorized

access. You should use discretion when deciding what personal, medical, financial, or sensitive information to share in any

Community space.

14. Recording Consent

The Company may record sessions, trainings, individual one-on-one coaching sessions, group calls, webinars, workshops,

podcasts, interviews, community discussions, live events, and other audio, video, or written interactions. Recordings may

include your name, voice, image, likeness, questions, comments, chat messages, or participation.

By participating in a recorded session, event, program, or Community interaction, you consent to such recording and to the

Company's use of recordings for program delivery, replay access, quality control, training, operations, content

development, recordkeeping, and other lawful business purposes. Recordings of private one-on-one coaching sessions and

sensitive client-specific discussions will be handled according to the applicable Privacy Policy, written client agreement, and

any separate media or testimonial consent. You may not record, copy, download, distribute, publish, or share any Company

session, recording, call, webinar, community discussion, or training without prior written permission.

15. AI-Assisted Tools and Resources

The Company may use artificial intelligence, automation, or related technologies to support the creation, organization,

editing, personalization, or delivery of educational content, worksheets, prompts, resources, summaries, communications,

or business operations. AI-assisted content is provided for educational and informational purposes only and may contain

errors, omissions, limitations, or outdated information.

AI-assisted resources do not replace individualized guidance from licensed medical, mental health, legal, financial, tax, or

other professionals. You are responsible for reviewing AI-assisted materials carefully and consulting qualified professionals

before relying on them for personal decisions.

16. Third-Party Services, Links, Platforms, and Resources

The Website, Services, Community, emails, blogs, podcasts, or other Content may reference, link to, integrate with, or rely

on third-party websites, platforms, software, payment processors, scheduling tools, email marketing providers, community

platforms, social media sites, analytics providers, books, products, professionals, services, or resources. The Company is not

responsible for the content, policies, availability, security, performance, accuracy, or practices of any third party.

Your use of third-party services is governed by the terms, privacy policies, and agreements of those third parties. The

Company may provide references, recommendations, reviews, affiliate links, or resources for convenience or educational

purposes, but such references do not constitute a guarantee, warranty, or endorsement that the third party is appropriate

for you.

17. Reviews, Affiliate Links, and Endorsements

From time to time, the Company may provide reviews or references to products, services, books, professionals, coaches,

consultants, software, resources, or other third-party offerings. We may receive compensation, commissions, discounts,

referral fees, or other benefits if you purchase through certain links or relationships.

When required, we will make reasonable efforts to disclose material affiliate, referral, sponsorship, or compensation

relationships. You remain responsible for conducting your own due diligence before purchasing or relying on any third-party

product, service, professional, or resource. The Company does not guarantee the suitability, accuracy, safety, results, or

performance of any third-party offering.

transmission is completely secure. You acknowledge that use of the Website, Services, and Community involves inherent

risks and that unauthorized access, disclosure, or technical failures may occur despite reasonable safeguards.

19. Prohibited Uses

You agree not to use the Website, Content, Services, or Community for any unlawful, harmful, fraudulent, abusive,

infringing, or unauthorized purpose. You also agree not to attempt to interfere with the security or operation of the

Website, introduce malware, scrape or harvest data, impersonate another person, misrepresent your identity, bypass

access restrictions, reverse engineer any technology, or use Company Content to train artificial intelligence systems or build

competing products or services without written permission.

20. No Warranties and No Guarantees

The Website, Content, Services, Community, and all related materials are provided "as is" and "as available" without

warranties of any kind, whether express or implied. To the fullest extent permitted by law, the Company disclaims all

warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement,

accuracy, availability, and uninterrupted or error-free operation.

The Company does not guarantee any specific fertility outcome, IVF result, pregnancy, live birth, medical outcome,

emotional outcome, mental health outcome, relationship outcome, financial outcome, business outcome, personal result,

or level of satisfaction. Results vary by individual and depend on many factors outside the Company's control.

21. Limitation of Liability

To the fullest extent permitted by law, the Company and its owners, members, managers, officers, employees, contractors,

agents, affiliates, licensors, content providers, and service providers shall not be liable for any direct, indirect, incidental,

special, consequential, exemplary, punitive, reliance, or other damages arising out of or relating to your access to, use of,

inability to use, or reliance on the Website, Content, Services, Community, recordings, third-party platforms, User Content,

or these Terms, even if advised of the possibility of such damages.

Without limiting the foregoing, the Company is not responsible for losses or damages related to fertility treatment

decisions, medical decisions, mental health decisions, legal or financial decisions, emotional distress, pregnancy outcomes,

community discussions, member conduct, third-party services, technology failures, payment processor issues, service

interruptions, data loss, unauthorized access, or your reliance on any information obtained through the Website, Content,

Services, or Community.

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above limitations may not apply

to you. In such jurisdictions, the Company's liability will be limited to the greatest extent permitted by applicable law.

22. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its owners, members, managers, officers, employees,

contractors, agents, affiliates, licensors, content providers, and service providers from and against any claims, liabilities,

damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (i) your breach of

these Terms; (ii) your violation of any law or third-party right; (iii) your User Content; (iv) your use or misuse of the Website,

Content, Services, or Community; (v) your conduct with other users, clients, members, or participants; or (vi) your reliance

on or sharing of information, recommendations, or suggestions in any Community or program setting.

The Company reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and

you agree to cooperate with the Company's defense of such claims.

23. Suspension, Termination, and Refusal of Service

The Company may refuse, suspend, restrict, or terminate access to the Website, Content, Services, Community, recordings,

resources, or accounts at any time if we determine, in our sole discretion, that you have violated these Terms, failed to

make required payments, engaged in misconduct, created a safety concern, infringed intellectual property rights, violated

community standards, misused confidential information, or acted in a way that is inconsistent with the purpose or integrity

of the Company's offerings.

Termination or suspension does not waive any payment obligations, intellectual property restrictions, confidentiality

expectations, indemnification obligations, or other provisions that by their nature should survive termination.

24. Force Majeure

The Company shall not be liable for any delay, interruption, inability to perform, or failure to provide access to the Website,

Content, Services, Community, recordings, or resources due to events beyond its reasonable control, including natural

disasters, severe weather, illness, emergencies, labor disputes, war, terrorism, civil unrest, pandemics, government actions,

power outages, internet disruptions, platform failures, payment processor issues, cybersecurity incidents, or failures of

third-party providers.

25. Accessibility

The Company is committed to making reasonable efforts to provide accessible Website content and Services. If you

experience difficulty accessing any part of the Website or need assistance with a resource, please contact

26. Governing Law and Dispute Resolution

If informal resolution is unsuccessful, you agree to submit to the exclusive jurisdiction and venue of the state or federal

courts located in or serving Wake County, North Carolina, unless otherwise required by applicable law. You agree not to

bring or participate in any class action, collective action, or representative proceeding against the Company to the fullest

extent permitted by law.
